512-foot, 40-story International-style office building completed in 1967. Designed by Emery Roth & Sons, it is clad in pre-cast concrete. The double-height ground floor has seven large, segmental-arched bays along the avenue, and eight along the north and south facades. The three middle bays on the avenue contain the main entrances, remodeled in 2015 with white metal linings inside the arches and curved glass canopies adding depth. Behind the arches, the bays are deeply recessed, with glass rear walls and doors leading into the white marble lobby. The other bays have large storefronts with tripartite show-windows and glass doors.The north facade on 50th Street has a loading dock in the east bay, and a secondary entrance in the 3rd bay from the east. The south facade on 49th Street has loading docks in the two east bays; the rest of the bays have additional storefronts. Each of the piers between the bays has a modern-styled light fixture.

Above the ground floor, each facade has two bays of windows corresponding to one of the larger bays below, with dark-tinted glass windows and spandrels between concrete piers. The bays have segmental-arched bottom ends at the 2nd floor, and tops where they end at the 13th floor. Above the 13th floor is a large setback on all four sides, with a landscaped terrace wrapping around on the 14th floor. The tower continues above the setback with the same design, 13 bays wide on the north and south. and 10 bays wide on the east and west. These bays end near the top of the tower, surmounted by a triple-height crown with bays of black metal vents between thicker piers, enclosing the mechanical equipment floors at the top of the building. Cast-concrete cornices cap the bottom and top of the crown.

Home of one of the largest advertising companies, Omnicon is located at 437 Madison Avenue. Some of the Omnicom companies located here include DDB, Tribal DDB, Rapp Colins, and Spike DDB. Besides the lobby, the ground floor is occupied by Madison Avenue Florist, Eden Fine Art, and a Wells Fargo Bank branch.
